ORDER ACKNOWLEDGMENT
Upon request, Clare Air will acknowledge receipt of hard copy purchase orders, and acceptance or denial within one (1) business day. For a SPEC-enabled Customer SPEC 2000 acknowledgment will be made with the appropriate chapter “S1” message
ORDER MINIMUMS
Unless other terms have been agreed to, minimums are $100 per order and $45 per line.
PRICE QUOTES
Prices are subject to change without notice due to changes in costs.
Will inform customers of any price change before an order is accepted
PAYMENT TERMS
Shipments to customers who have not established credit terms will be made on a C.O.D. basis or Pay in advance. Invoices will be sent at the time of shipment.
Payments from customers who have been given credit terms must be mailed to the address shown on the invoice within thirty (30) days of the Clare Air invoice date. Invoices commence at the time of shipment or else such invoice balances will be subject to an interest charge of 1.5% per month until paid and any collection costs or fees Incurred (unless special terms have been arranged).
Accounts with unpaid balances over sixty (60) days will be placed on credit hold. Clare Air reserves the right to modify or withdraw credit terms and/or credit limits at any time without notice and to require guaranteed security or payment in advance for the amount of the order
CREDIT APPLICATION
A Customer that wishes to pay on credit terms must fill out and sign an “Open Credit Application” form and then fax the completed form back to us. Only Clare Air “Open Credit Application” will be accepted for credit terms. Credit terms and credit limit are not given until credit application is fully approved and processed. Credit limits may be adjusted by Clare Air at its sole discretion
DELIVERY
Standard orders for stocked items will ship by the end of the day unless delayed delivery is requested. Expedite, or “must ship” orders for stocked items will ship same business day.
Ground shipments and orders with more than 10 lines do not qualify for same day shipping. The cut off time to receive an order for same day shipment is 6:00 PM local warehouse time. To guarantee shipment after 6:00 PM local warehouse time, the order must be upgraded to
AOG status and the associated AOG fee may apply. If an item is out of stock, Customer will be notified and an approximate shipping date will be provided for any back-ordered item. Although Clare Air will make every effort to meet the shipping dates provided, Customer acknowledges and agrees that Clare Air shall not be liable for any resulting charges incurred by the Customer on account of shipping delays. Customer may submit a written request to cancel any item which is excessively delayed. In the event that parts are provisioned specifically for the Customer, Clare Air reserves the right to charge Customer 100% of the associated cancellation and restocking fees. Quantity variance of +/-20% on all parts,
ALL ORDERS WILL BE SHIPPED EXW (Ex-works) or F.O.B. ORIGIN UNLESS OTHER ARRANGEMENTS HAVE BEEN MADE.
Rush Order (AOG, Work Stoppage, or Counter-to-Counter) fees are as follows
AOG ORDER POLICY
Clare Air will accept AOG orders from either Warehouses by any customer subject to the following conditions:
1) The customer must provide a valid aircraft tail number.
2) The order must be picked up or shipped for delivery by the next day.
3) A maximum of five lines per order. See below for orders greater than five lines.
AOG orders received by (Monday through Friday except holidays) are available for shipment or pickup that same day. For emergency AOG orders requiring four hour turnaround time outside of the above schedule, an afterhours AOG service is available. This service will be subject to a fee of $250.
Requests for afterhours AOG service must be made by phone (with a follow-up paper purchase order email) to ensure that the order is acted upon in a timely manner. For an afterhours, the customer should contact Clare Air sales and service. For all other times, customers can call +972 72111503 OR+972 525953432, to reach a member of the Clare Air AOG Team.
during a regular workday, lead times are as follows:
– 10 to 20 lines: the order will ship the next business day as a ‘Critical’ order.
– 21 or more line: the order will ship two business days later as a ‘Routine’ order.
Customers can indicate which items on a purchase order they wish to ship earlier in order to reduce the lead-time.
CERTIFICATION
Clare Air maintains complete traceability on all New (NE, NS, AR, SV, OH,RP) parts. Customer accepts that complete traceability. All shipments are accompanied by a Clare Air Certificate of Conformance at no additional charge. If a copy of the manufacturer’s certification OR FAA8130-3/ EASA/OEM CERTS/JAAFI us quoted is required, this must be stipulated on Customer’s purchase order. Certification requirements will be agreed upon at the time Customer’s account is established. Clare Air does not provide test reports as part of our certification packages. Requests for test reports should be directed to your sales representative, and when available, a charge will apply. If test reports are required, it must be clearly noted on Customer’s purchase order. FAA 8130-3 forms are issued with DAR PMA or Clare Air overhauled part
PACKAGING
Clare Air Packages products to prevent accidental damage during shipment and storage. Parts are packaged according to the requirements of the design authority; otherwise, Clare Air standard is to package hardware bulk and package seals, O-rings and packing’s according to SAE AMS2817 .Products are properly identified and packaged to ATA Specification No. 300 and/or customer specific requirements. Please contact a Clare Air sales representative to arrange for custom labeling. If custom labeling is not requested, parts will be shipped with Clare Air standard label.
Products are packaged and/or stored in a manner that provides adequate protection from normal hazards
RETURN POLICY
Products that have not been altered (except with the written authorization of Clare Air), may be returned to Clare Air for the reasons listed below. In all instances, a Return Material Authorization (RMA) number is required. Please contact the Clare Air Sales Department at +972 72111503 (Corporate Headquarters) or by email for specific details.
1. Ordered in Error by Customer: Products ordered in error by a customer may be returned to Clare Air for credit within 10 days after the product was shipped. A restocking charge of 35% will apply against the original invoice. Clare Air will not accept raw material returns or items that were quoted as ‘Special Order’. The customer will bear all return shipping charges.
2. Shipped in Error by Clare Air: Products shipped in error by Clare Air (including those incorrectly identified) may be returned to Clare Air for credit within 30 days after the product was shipped. Transportation charges for the return will be borne Clare Air 3. Warranty Returns: Defective or non-conforming parts may be returned to Clare Air for repair or replacement. See Clare Air Warranty Terms and Conditions for additional information.
DAMAGED GOODS
In the event that material is damaged in transit, Customer must notify Clare Air within five (5) business days of said damage and request a credit or replacement order. Photos of the damaged packaging must also be included with the request.
EXPORT RESTRICTIONS
Customer agrees to not export or re-export any parts or technology received from Clare Air except in full compliance with all United States laws and regulations including the Export Administration Regulations and the International Traffic in Arms Regulations. In particular, such products may not be exported or re-exported to a national or resident of any country to which the United States embargoes goods without appropriate approvals or licenses, or to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Commerce Department’s Table of Denial Orders. In addition, Customer is responsible for complying with any local laws in Customer’s country, which may impact Customer’s right to import, export, or use the parts. Clare Air requires End-Use Statements for all orders.
VENUE SELECTION/CHOICE OF LAW
This agreement shall be deemed to have been made in the State of Utah, U.S.A. and shall be interpreted in accordance with the laws of the State of Utah without regard to conflict of law principles. Customer consents to the exclusive jurisdiction of the state and federal courts of the state of Utah, U.S.A., for determination of any claim or controversy between the parties and arising out of or relating to these terms and conditions of sale. In the event that Clare Air shall engage an attorney or commence an action against Customer arising out of facts and circumstances related to these terms and conditions of sale including, but not limited to, Customer’s breach of any of its obligations hereunder, Clare Air shall be entitled to recover its reasonable attorney’s fees, costs, and other disbursements incurred in connection therewith.
EXCLUSIVITY OF REMEDY, LIMITATION OF LIABILITY
In the event Customer claims that Clare Air has breached any of its obligations under this agreement, Clare Air may request the return of the products and tender to the Customer the purchase price paid by Customer and Clare Air shall have no further obligations under this agreement except to refund such purchase price.
THE REMEDIES PROVIDED FOR IN THIS PARAGRAPH SHALL CONSTITUTE THE SOLE RECOURSE OF CUSTOMER AGAINST CLARE AIR FOR CLAIMS RELATING TO THE SALE OR USE OF PRODUCTS, WHETHER THE CLAIM IS MADE IN TORT OR IN CONTRACT, INCLUDING CLAIMS BASED ON WARRANTY, NEGLIGENCE, STRICT LIABILITY, PRODUCT LIABILITY, OR OTHERWISE. WENCOR SHALL NOT BE LIABILE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, ANY DAMAGE TO AIRCRAFT, OR FOR LOSS OF USE.
